These terms govern our B2B packaging manufacturing services and establish the framework for our professional partnership.

Agreement Overview
These Terms and Conditions ("Terms") constitute a legally binding agreement between Shenzhen Pakoem Technology Co., Ltd. ("Pakoem," "we," "us," or "our") and the business entity engaging our services ("Client," "you," or "your").
By placing an order, requesting a quote, or engaging our manufacturing services, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

Services & Manufacturing
2.1 Service Scope
Pakoem provides comprehensive B2B packaging manufacturing services, including but not limited to custom boxes, bags, paper tubes, labels, and related packaging products. Our services encompass design consultation, prototyping, mass production, quality assurance, and logistics coordination.
2.2 Customization & Specifications
All products are manufactured according to mutually agreed specifications, drawings, and samples. Clients are responsible for providing accurate, complete specifications and approving prototypes before mass production commences.
- Dimensional tolerance: ±0.5mm unless otherwise specified
- Color variance: ΔE < 2 for approved color standards
- Material compliance: FSC, FDA, BRC, RoHS as applicable
2.3 Minimum Order Quantities
Standard MOQ is 1,000 units per design/specification. Lower quantities may be accommodated at premium pricing, subject to production feasibility and mutual agreement.

Production & Delivery
4.1 Lead Times
Lead times commence upon receipt of approved artwork, specifications, and deposit payment. Complex designs or special materials may require extended timelines.
4.2 Force Majeure
Pakoem shall not be liable for delays caused by circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, material shortages, labor disputes, or transportation disruptions.

Quality Assurance & Compliance
5.1 Quality Standards
All products undergo multi-stage quality control including incoming material inspection, in-process monitoring, and final inspection before shipment.
5.2 Compliance Certifications
Our materials and processes comply with relevant international standards including FDA (food contact), BRC Global Standard, RoHS (electronics), and Child-Resistant certification (16 CFR § 1700.20) where applicable.
Clients are responsible for ensuring our products meet their specific market requirements and obtaining any additional certifications needed for their target markets.

Intellectual Property & Confidentiality
6.1 Client IP Protection
All designs, artwork, specifications, and proprietary information provided by the Client remain the exclusive property of the Client. Pakoem commits to maintaining strict confidentiality and will not reproduce, distribute, or disclose such materials without explicit written consent.
We implement comprehensive data security measures and require all employees to sign confidentiality agreements to protect your intellectual property.
6.2 Manufacturing Rights
By engaging our services, Clients grant Pakoem the limited right to manufacture products according to provided specifications solely for the Client's account. This does not constitute a transfer of ownership or licensing rights.

Liability & Warranties
7.1 Product Warranties
Pakoem warrants that all products will be manufactured in accordance with approved specifications and will be free from material defects in workmanship for a period of 90 days from delivery.
Our sole obligation for defective products is to replace or repair the defective items at our discretion. This warranty does not cover damage due to misuse, normal wear, or modifications by third parties.
7.2 Limitation of Liability
Pakoem's total liability for any claim shall not exceed the value of the specific order giving rise to the claim. We shall not be liable for indirect, consequential, or incidental damages, including lost profits or business interruption.

Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from or relating to these Terms or our business relationship shall be resolved through:
- Good faith negotiation between the parties
- Mediation through a mutually agreed mediator
- Arbitration under the China International Economic and Trade Arbitration Commission (CIETAC) rules
